Terms of Service

1. Acceptance of Terms

By accessing or using Vourly's platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

Vourly LLC ("Vourly," "we," "us," or "our") reserves the right to modify these Terms at any time. Continued use of the Service after changes constitutes acceptance of the modified Terms.

2. Service Description

Vourly is a marketplace platform that connects clients with independent professional videographers for on-demand video production services. Key aspects of our service:

• Vourly facilitates bookings between clients and videographers
• Videographers are independent contractors, not Vourly employees
• We do not directly provide videography services
• We handle scheduling, payment processing, and customer support

3. User Accounts

3.1 Account Creation

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Be responsible for all activity under your account
• Notify us immediately of any unauthorized use

3.2 Account Eligibility

You must be at least 18 years old to create an account. By using the Service, you represent that you meet this requirement.

3.3 Account Termination

We reserve the right to suspend or terminate accounts that:

• Violate these Terms or applicable laws
• Engage in fraudulent activity
• Abuse videographers or other users
• Repeatedly cancel bookings without valid reason

4. Services and Pricing

4.1 Service Packages

We offer the following service tiers:

• Social Media Videos: $100/hour (2-hour minimum) for social media and authentic content
• Premium Production: $200/hour (2-hour minimum) for polished, professional production
• Strategy Call: $125 (45 min) or $150 (1 hour) for virtual content planning consultation

4.2 Add-On Services

Optional add-ons are available as flat fees per booking (not per hour):

• Professional Lighting: +$175
• Drone Footage: +$150
• Additional Camera: +$175
• Teleprompter Setup: +$35

4.3 Taxes

Applicable sales tax will be calculated based on your billing address and added to your total. Washington state residents are subject to WA state and local sales tax.

5. Booking and Payment

5.1 Booking Process

Bookings are made through our website and are subject to videographer availability. A booking is confirmed only after:

• You complete the booking form with required details
• Payment is successfully processed
• You receive a booking confirmation email

5.2 Payment Terms

• Deposit: 50% of total booking cost required at time of booking
• Balance: Remaining 50% due upon completion of the shoot
• Payment Methods: All major credit/debit cards accepted via Stripe
• Currency: All prices are in US Dollars (USD)

5.3 Minimum Booking

A 2-hour minimum applies to all Social Media Videos and Premium Production bookings. Strategy Calls have fixed durations of 45 minutes or 1 hour.

6. Cancellation and Refund Policy

6.1 Client Cancellations

Refunds are calculated based on how far in advance you cancel:

• More than 72 hours before shoot: 100% refund of deposit
• 48 to 72 hours before shoot: 75% refund of deposit
• 24 to 48 hours before shoot: 50% refund of deposit
• Less than 24 hours before shoot: No refund (deposit is non-refundable)

6.2 Rescheduling

Free rescheduling is available if requested more than 48 hours before your scheduled shoot, subject to videographer availability.

6.3 Videographer Cancellations

If a videographer cancels for any reason, you will receive a full refund of your deposit. We will make reasonable efforts to find a replacement videographer.

6.4 Weather-Related Cancellations

For outdoor shoots where weather makes filming impossible or unsafe, bookings may be rescheduled at no charge.

7. Footage Delivery

7.1 Delivery Timeframes

• Social Media Videos: Raw footage delivered within 24 hours
• Premium Production: Raw footage delivered within 48 hours

7.2 Download Period

Footage is available for download for 14 days after delivery. You may extend the download period for an additional fee ($30 per 14-day extension). After expiration, footage is permanently deleted from our servers.

7.3 Format

Raw footage is delivered in standard professional formats (typically .mp4 or .mov). No editing is included unless specifically purchased through our editing partners.

8. Videographer Responsibilities

Videographers on our platform agree to:

• Arrive on time with appropriate equipment for the booked package
• Deliver raw footage within stated timeframes
• Maintain professional conduct at all times
• Carry appropriate liability insurance
• Comply with all applicable laws and location rules
• Protect client confidentiality

9. Client Responsibilities

As a client, you agree to:

• Provide accurate shoot location and contact information
• Ensure location access and any necessary filming permits
• Obtain releases from all individuals appearing in footage
• Make timely payments as agreed
• Treat videographers with respect and professionalism
• Provide a safe working environment
• Download footage within the specified retention period

10. Intellectual Property

10.1 Raw Footage Rights

Upon full payment, clients receive unlimited commercial rights to all raw footage captured during their booking. This includes the right to edit, modify, distribute, and use the footage for any legal purpose.

10.2 Portfolio Rights

Videographers retain the right to use footage in their professional portfolio unless you specifically request otherwise in writing before the shoot. This is standard industry practice and helps videographers showcase their work.

10.3 Vourly Platform Content

All Vourly branding, logos, website content, and platform software are owned by Vourly LLC and protected by intellectual property laws. You may not use our trademarks without written permission.

11. Limitation of Liability

Vourly acts as a marketplace platform facilitating connections between clients and videographers. To the maximum extent permitted by law:

• We are not liable for videographer performance, quality, or conduct
• We are not liable for missed shoots, late deliveries, or equipment failures
• We are not liable for any claims arising from your use of the footage
• We are not liable for indirect, incidental, or consequential damages

Our maximum liability for any claim is limited to the amount you paid for the specific booking in question.

12. Indemnification

You agree to indemnify and hold harmless Vourly, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Content created using footage from your booking

13. Dispute Resolution

13.1 Customer Support

For any issues or disputes, please first contact our customer support at hello@vourly.co. We will work to resolve issues within 5 business days.

13.2 Arbitration

If a dispute cannot be resolved through customer support, both parties agree to binding arbitration in Washington State under the rules of the American Arbitration Association. This arbitration clause does not apply to small claims court actions.

13.3 Class Action Waiver

You agree to resolve any disputes with Vourly on an individual basis and waive the right to participate in class action lawsuits or class-wide arbitration.

14. Force Majeure

Neither party is liable for delays or failures to perform due to circumstances beyond reasonable control, including but not limited to:

• Natural disasters, severe weather, or acts of God
• Pandemics or public health emergencies
• Government actions, regulations, or orders
• Civil unrest or acts of terrorism
• Internet or telecommunications failures

In such events, bookings may be rescheduled without penalty.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

16. Modifications to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice. We are not liable for any modification, suspension, or discontinuation of the Service.

17. Governing Law

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict of law principles. Any legal action must be brought in the state or federal courts located in King County, Washington.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vourly regarding your use of the Service, superseding any prior agreements.
